These Terms of Service (“Terms”) govern your access to and use of the SwyCheckout platform, websites, and APIs (the “Services”). By creating an account or using the Services, you agree to these Terms.
1. The service
SwyCheckout provides payment processing, merchant-of-record, tax handling, licensing, and related tools that help you sell software. We act as the reseller and merchant of record for transactions you make through the Services, unless otherwise agreed in writing.
2. Your account
You must provide accurate information, keep your credentials secure, and be responsible for all activity under your account. You must be legally able to enter into these Terms in your jurisdiction.
3. Acceptable use
You agree not to use the Services to sell prohibited goods, infringe intellectual property, engage in fraud, or violate applicable law. We may suspend accounts that breach this section.
4. Fees and payouts
You agree to the pricing shown on our Pricing page or in your order. We deduct applicable fees before remitting payouts to your designated bank account on the schedule you select.
5. Taxes
As merchant of record, SwyCheckout calculates, collects, and remits sales tax, VAT, and GST where required on transactions processed through the Services. You remain responsible for your own income and business taxes.
6. Refunds and chargebacks
You are responsible for your refund policy. We may process refunds and manage chargebacks in accordance with card-network rules and our risk policies.
7. Intellectual property
SwyCheckout retains all rights to the Services. You retain all rights to your products and content. You grant us a limited license to process and display your content solely to provide the Services.
8. Disclaimers and liability
The Services are provided “as is.” To the maximum extent permitted by law, SwyCheckout is not liable for indirect or consequential damages, and our aggregate liability is limited to the fees you paid us in the prior three months.
9. Termination
Either party may terminate with notice. On termination we will complete pending payouts, subject to reserves and applicable law.
10. Changes
We may update these Terms. Material changes will be communicated in advance. Continued use after changes take effect constitutes acceptance.
